By accessing or using this Site, you expressly acknowledge that you have read and understand these Terms and Conditions, and agree to be bound by them.

We reserve the right to modify or amend these Terms and Conditions from time to time without notice. You may use the Site only for lawful purposes. You are solely responsible for the knowledge of and adherence to any and all laws, rules, and regulations pertaining to your use of the Site. User Accounts and Registration
In order to purchase products through the Site, you will need to create a user account and provide certain information about yourself. You are solely responsible for maintaining the confidentiality of your user account login credentials, and for all activities that occur under your account. You agree to immediately notify Napa Valley Naturals® of any unauthorized use of your account or any other breach of security. Napa Valley Naturals® will not be liable for any loss or damage arising from your failure to protect your login credentials.
User Content
If you submit, post, upload, publish, or display any reviews, comments, photos, videos, audios, or other content (“User Content”) to the Site, you are solely responsible for that User Content. You may not submit or publish through the Site any content that is illegal, offensive, obscene, abusive, threatening, harassing, or otherwise objectionable to Napa Valley Naturals®. Napa Valley Naturals® reserves the right, but does not assume the obligation, to review User Content, and may delete or remove User Content at any time for any reason.
Intellectual Property
The content on the Site, including without limitation text, images, trademarks, service marks, copyrights, photos, videos, graphics, music, sounds, articles and other materials (collectively, “Site Content”), is the exclusive property of Napa Valley Naturals® and its licensors and is protected by copyrights, trademarks, and other intellectual property rights.
You may use Site Content solely for your personal, non-commercial use, provided that you keep intact all copyright and other proprietary notices. You may not reproduce, modify, distribute, display, perform, publish, license, frame, download, store for subsequent use, create derivative works from, transfer, or otherwise use Site Content without the prior written consent of Napa Valley Naturals®. The Napa Valley Naturals® name and logo are trademarks of Napa Valley Naturals LLC and may not be used without permission. Any rights not expressly granted herein are reserved.
Purchases and Payment
If you wish to purchase any products made available through the Site (“Products”), you may be asked to supply certain relevant information, such as your name, shipping address, email address, phone number, and credit card information. You represent and warrant that any information you provide in connection with a purchase is true and accurate.
All purchases are subject to Product availability. Prices and availability of Products are subject to change at any time. Certain restrictions, limitations, requirements, and additional fees may apply to your purchase of certain Products.
By submitting your order, you agree to pay the price for the Products as well as any applicable taxes and shipping costs. Napa Valley Naturals® uses third-party services to process payments. If your payment cannot be processed or is later invalidated, your order may be cancelled and any Products purchased may be recovered.
Shipping and Delivery
When you purchase a Product, an estimated shipping delivery timeframe will be provided. Actual delivery times may vary due to reasons such as delayed supply of Products, inaccuracies in delivery address provided, inclement weather, and delays by the shipping courier. Napa Valley Naturals® may provide scheduled delivery time frames, but does not guarantee delivery within that timeframe. Napa Valley Naturals® will not be liable for any delays.
Title and risk of loss pass to you upon our transfer of purchased Products to the shipping carrier. Shipping and delivery dates are estimates only and are not guaranteed delivery times. We reserve the right to cancel, or refuse to accept or fill, any order for any reason.
Returns and Refunds
Napa Valley Naturals® accepts returns of unused Products in resalable condition within 30 days of delivery for a full refund of the purchase price. To be eligible for a return, you must contact us within 30 days of delivery to obtain a Return Merchandise Authorization (RMA) number.
To return Products, please securely package the Products, include a copy of the original packing slip, and your RMA number. Send the package with shipping prepaid and insured to the address specified when you are issued your RMA number.
Once your return is received by Napa Valley Naturals®, we will process your refund within approximately 3 business days. Refunds may take 1-2 billing cycles to appear on your credit card statement, depending on your credit card company. Refunds will be issued using the original payment method used at checkout. You are responsible for all shipping and insurance costs for returned items. We are unable to offer refunds for items that are damaged, misused, or opened.
Product Warranties
Napa Valley Naturals® warrants that the Products will substantially conform to our published specifications for a period of 90 days from the date of original purchase. TO THE FULLEST EXTENT PERMITTED BY LAW, THIS LIMITED WARRANTY AND ANY IMPLIED WARRANTIES ARE YOUR EXCLUSIVE WARRANTIES AND REPLACE ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. This warranty gives you specific legal rights, and you may also have other rights which vary from state to state.
This limited warranty does not apply to any Products that have been subject to: (a) tampering, misuse, negligence, or accident; (b) improper voltage supply or power surge; (c) damage caused by acts of God such as lightning strikes, floods, tornadoes, earthquakes, or hurricanes; (d) damage during shipping; (e) modifications or attachments to the Product not authorized by Napa Valley Naturals®; (f) repair or service by anyone other than an authorized Napa Valley Naturals® service provider; or (g) failure to follow Napa Valley Naturals® operating instructions.
To obtain warranty service, contact Napa Valley Naturals® to obtain an RMA number. You must return the Product, with the RMA number and shipping prepaid and insured, to the address specified by Napa Valley Naturals®. If a defect exists, Napa Valley Naturals® will either repair or replace the Product at its option. Replacement Products may be new or refurbished. Replacement Products have a 90-day warranty from the date of shipment.
Disclaimer of Warranties
THE SITE AND PRODUCTS ARE PROVIDED ON AN ‘AS IS’ AND ‘AS AVAILABLE’ BASIS WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, NAPA VALLEY NATURALS® EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
NAPA VALLEY NATURALS® MAKES NO REPRESENTATIONS OR WARRANTIES THAT USE OF THE SITE OR PRODUCTS WILL BE SECURE, TIMELY, UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS OR ERRORS WILL BE CORRECTED, THAT THE SITE OR SERVER IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT USER CONTENT OR INFORMATION YOU PROVIDE WILL BE SECURE OR NOT OTHERWISE LOST OR DISCLOSED TO THIRD PARTIES.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NAPA VALLEY NATURALS®, ITS AFFILIATES, LICENSORS OR BUSINESS PARTNERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR OTHER SIMILAR DAMAGES ARISING OUT OF OR RELATED TO THE SITE OR PRODUCTS, INCLUDING WITHOUT LIMITATION, LOST PROFITS OR REVENUE, LOSS OR CORRUPTION OF DATA, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS OPPORTUNITY, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF NAPA VALLEY NATURALS® HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE TOTAL CUMULATIVE LIABILITY OF NAPA VALLEY NATURALS®, ITS AFFILIATES, LICENSORS AND BUSINESS PARTNERS FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION RELATING TO YOUR USE OF THE SITE OR PRODUCTS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, SHALL NOT EXCEED THE AMOUNT YOU PAID TO NAPA VALLEY NATURALS® FOR THE PARTICULAR PRODUCTS OR SERVICES GIVING RISE TO THE CLAIM.
Indemnification
You agree to defend, indemnify and hold harmless Napa Valley Naturals®, its affiliates and their respective directors, officers, employees, contractors and agents from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses arising from: (a) your use of the Site or Products; (b) any User Content you submit, post, transmit through the Site; (c) your violation of these Terms and Conditions; and (d) your violation of any third-party rights, including without limitation any intellectual property rights or privacy rights. This defense and indemnification obligation will survive termination of these Terms and Conditions.

Modification and Termination
